Terms of Service

These terms govern your use of ProfitShield. They are written to be read rather than skipped: the sections that matter most are what the service does, how billing works, and what happens when the agreement ends.

1. Agreement

These terms are an agreement between you (the merchant installing the app, together with the Shopify store you install it on) and HOX SINCE 2019 LTD, the provider of ProfitShield.

By installing ProfitShield on a Shopify store you accept these terms. If you do not accept them, do not install the app, and uninstall it if it is already installed.

You must be authorised to act for the store you install the app on. Your use of Shopify itself remains governed by your agreement with Shopify, not by these terms.

2. What the service does

ProfitShield reads data from your Shopify store - products and their cost per item, collections, orders from the last 60 days, and discounts - and uses it to calculate the profit behind your promotions. It grades active discounts, raises alerts when a promotion sells products below cost, and lets you simulate a discount before you publish it.

The app is read-only with respect to your Shopify store. It does not create, edit or delete your products, prices, discounts or orders. Anything you change, you change in Shopify.

Every figure the app shows is derived from your own store data using published formulas, and carries a calculation trace you can open. The app does not invent numbers. Where cost data is missing, the affected products are excluded from the calculation and the app tells you the coverage instead of estimating.

The output is decision support, not financial, tax or accounting advice. You decide which promotions to run.

3. Your store and your data

Access is granted by you through Shopify's OAuth flow, using the minimum scopes the app needs: read access to products, inventory, orders and discounts. The app does not request access to your customers.

Your store data remains yours. We process it only to provide the app to you, as described in the Privacy Policy.

You are responsible for the accuracy of the cost data in your store. Costs you have not entered in Shopify cannot be used in a margin calculation, and the app will say so rather than guess.

4. Trial, plans and billing

ProfitShield starts with a 14-day free trial from the moment you install it, with full access to everything. Picking a plan during the trial does not start a second trial: the free period still ends 14 days after install, and if you uninstall before then you are not charged at all. The trial runs once per store - uninstalling and reinstalling resumes the original 14 days rather than starting new ones, as described in the Privacy Policy's retention section.

After the trial, ProfitShield is billed monthly in advance through Shopify Billing and appears on your regular Shopify invoice. We never see or store your card details.

Each plan includes a monthly order allowance. Allowances are currently soft and nothing above them is metered or charged: syncing and alerting continue when you exceed your allowance, and the app shows an upgrade prompt.

We may introduce overage billing at $0.10 per order above the allowance, charged as a Shopify usage charge within a capped amount you approve in advance. We will give notice before that takes effect, as described in the section on changes to these terms.

You can change plans at any time in the app; Shopify applies its own proration rules to the change. Charges already made are not refundable except where required by law.

Prices are stated in US dollars and exclude any taxes Shopify is required to collect.

5. Acceptable use

Use the app for your own store, in a way that is lawful and does not interfere with the service. Do not attempt to access another merchant's data, probe or overload the service, reverse engineer it beyond what applicable law permits, or resell access to it.

We may suspend access to protect the service, other merchants, or Shopify's platform, and will tell you why when we do.

6. No warranty

The app is provided as it is. We work hard to make the calculations correct and the service available, but we cannot promise that it will always be available, uninterrupted, or free of errors, and we cannot promise that the app's data will always be perfectly in step with Shopify - webhooks can be delayed or lost, which is why a daily reconciliation job exists.

Calculations depend on the data in your store. Missing or incorrect product costs, shipping costs, payment fees or packaging costs will produce misleading results, and the app cannot detect that on your behalf.

To the extent the law allows, we disclaim all implied warranties, including fitness for a particular purpose and merchantability.

7. Limitation of liability

In plain terms: we are not liable for business decisions you make using the app. That includes lost profit, lost sales, lost or corrupted data, or any indirect or consequential loss arising from a promotion you did or did not run.

Where we are liable, our total liability for all claims in any 12-month period is limited to the amount you paid for the app in the 12 months before the claim arose.

Nothing in these terms limits liability that cannot be limited by law, including liability for fraud, or for death or personal injury caused by negligence.

8. Termination

You can end this agreement at any time by uninstalling the app from your Shopify admin. Uninstalling cancels the subscription through Shopify and starts the deletion of your data described in the Privacy Policy.

We may end this agreement if you materially breach these terms, or if we stop offering the app. If we discontinue the app, we will give reasonable notice through the app or by email so that you can export what you need.

9. Changes to these terms

We may update these terms as the app changes. The date at the top of this page always reflects the current version.

For changes that materially affect your rights or what you pay, we will give notice in the app or by email before they take effect. Continuing to use the app after a change takes effect means you accept the updated terms; if you do not accept them, uninstall the app.

10. Governing law

These terms are governed by the laws of Bulgaria, and the courts of Bulgaria have exclusive jurisdiction over any dispute arising from them, except where mandatory consumer protection law in your own country gives you the right to bring proceedings elsewhere.
